These terms are an agreement between you and Strata9 Inc. ("Strata9 Inc.," "we," "us"), which operates Strata9. By creating an account or using Strata9, you agree to them.
Strata9 is a mapping and research tool that organizes public subsurface records into a single interactive map and set of reports, and it runs a marketplace where owners and brokers can list mineral and well interests for sale and buyers can browse and contact them. It is a product of Strata9 Inc., a Texas corporation based in Houston, Texas.
Strata9 is an information tool. It is not a title company, law firm, broker, appraiser, or investment adviser, and nothing in the service is legal, tax, title, or investment advice. Always confirm anything that matters with the official source of record and your own professional advisers before acting on it.
You must be at least 18 years old and able to form a binding contract to use Strata9. You are responsible for your login credentials and for everything that happens under your account. Tell us promptly if you believe your account has been used without your permission.
You agree to give accurate account information and to keep it current.
Strata9 offers free and paid plans. Paid plans are billed in advance on a recurring basis (monthly or annual, as you select) through our payment processor. By starting a paid plan you authorize us to charge the applicable fees, including taxes, to your payment method until you cancel.
Payments are handled by a third-party processor. We do not store your full card number. Your use of payment features is also subject to the processor's terms.
Strata9 assembles its own datasets from primary public sources. Wells, drilling permits, production records, and pipeline geometry come from the Railroad Commission of Texas; injection and disposal volumes from the Texas Open Data Portal; county, city, and town boundaries from the U.S. Census Bureau; geothermal gradient information from the SMU Geothermal Laboratory; and seismic response area boundaries from the state's published injection restriction data. Those records are created and maintained by third parties, are updated on their schedules, and can contain errors, omissions, and delays. We refresh our copies on a regular cadence but cannot guarantee that any figure is current, complete, or accurate. Some of it is published with a lag: production and injection are filed periodically by lease or by well, and recent periods continue to fill in after we publish them.
Maps, coordinates, and county boundaries are approximate and are for visual orientation only.
Permitted volumes, injection history, injection intervals, pressures, and any utilization figure derived from them come from operator filings with the state and are historical and periodic, not live telemetry. A well showing available headroom may in practice be constrained by pressure limits, formation behavior, contract, regulatory action including curtailment in seismic response areas, or simple physical access. Nothing shown in Strata9 Hydro is a representation that a well can accept a given volume of water on a given day, and it is not environmental, engineering, or regulatory advice.
Strata9 draws the injection restriction areas published by the state, distinguishing areas under formal response from those under investigation. These boundaries are published by the state, change over time, and are shown as of our most recent refresh. They are drawn for orientation and are not a determination of whether any particular well may inject, at what volume, or under what conditions. Nothing in this layer restricts a mineral interest or any right beneath the surface. Where the layer appears alongside oil and gas information it is context about water handling costs in an area, not a regulatory limitation on the interests shown. Always confirm the current status of any area with the state before acting on it.
Strata9 includes a marketplace where sellers can list what they hold and buyers can browse those listings and contact the sellers. Mineral and royalty owners and brokers list producing wells, mineral and royalty interests, and leaseholds. Owners of undeveloped land list the minerals beneath it or the groundwater in it, on tracts with no well of record. Operators list water assets through Strata9 Hydro, including available disposal capacity, capacity wanted, recycled or produced water, saltwater disposal wells and related assets, and pore space or disposal rights. The marketplace is a listing venue only. Strata9 is not a broker, broker-dealer, dealer, investment adviser, real estate agent, appraiser, or a party to any transaction, and it does not represent buyers or sellers.
You agree not to: scrape, bulk-download, or resell the data except as your plan expressly allows; misrepresent ownership or identity; upload unlawful content or content you lack rights to; attempt to breach security or access other users' data; or use the service to harass, defraud, or violate anyone's rights or applicable law.
The Strata9 software, design, compilations, reports, and brand are owned by Strata9 Inc. and protected by law. Underlying public records are not owned by us. We grant you a limited, revocable, non-transferable license to use the service for your own lawful purposes under your plan. Everything not expressly granted is reserved.
Strata9 relies on third parties for functions such as mapping tiles, payment processing, hosting, and authentication. Their availability and terms are outside our control, and we are not responsible for their acts or omissions.
Strata9 is in beta, and parts of it are new or still being built out. These terms apply wherever you use Strata9, including our website, any installable or mobile application we publish, and any application store through which you obtain it. We also describe features that are planned or in preview, such as coverage of additional states and precious metals. These may change, slip, or be withdrawn before release, and additional terms may apply to them when they launch. Nothing on our site about a future feature is a promise that it will ship in a particular form or on a particular date.
The service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or accuracy of data. We do not warrant that the service will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Strata9 Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the service. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).
You agree to indemnify and hold harmless Strata9 Inc. from claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the service, your content, or your violation of these terms or of any law or third-party right.
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
Most concerns can be resolved quickly. Before starting a formal proceeding, you agree to contact us at legal@strata9.exchange and give us 30 days to try to resolve the matter informally.
If we cannot resolve a dispute informally, you and Strata9 Inc. agree that any dispute, claim, or controversy arising out of or relating to these terms or the service will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as stated below. The arbitration will take place in Harris County, Texas, or by telephone or video where available, and judgment on the award may be entered in any court having jurisdiction. The arbitrator decides all issues, except that a court decides whether the class-action waiver below is enforceable.
You and Strata9 Inc. agree to bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.
Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information. You may opt out of this arbitration agreement by emailing legal@strata9.exchange within 30 days of first accepting these terms. If you opt out, or for any dispute not subject to arbitration, the exclusive venue will be the state and federal courts located in Harris County, Texas.
We may update these terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Continuing to use Strata9 after changes take effect means you accept the updated terms.
